PARTNER NEWS [Aug 2002]: HP Suspends Staff for Email Abuse top 

Mid-July saw a high profile crackdown on corporate email abuse as Hewlett
Packard suspended approximately 150 staff in Britain and Ireland and dismissed
two others. HP did not give details about specific wrongdoing, but typical
infractions include pornography and tasteless jokes.

PARTNER NEWS [May 2002]: HP Compaq Merger completed top   

The much talked about merger between Hewlett Packard and Compaq was legally
closed on May 3rd. May 7th marked the official launch of "The New HP".

The combined company now serves more than one billion customers in more
than 160 countries on five continents. The company includes the world's
leading Imaging and Printing solutions, Personal Computing, IT Services
and Infrastructure. To mark the event, HP Chairman and Chief Executive
Officer Carly Fiorina and President Michael Capellas addressed HP Customers

Learn More [Sep 2001]: The Compaq/HP Merger

On Monday, Sept. 3rd, Hewlett Packard announced that it has agreed to acquire 
Compaq for stock worth $25 billion at the time of the announcement. The 
merged company will keep the HP name. Some details about the merger:

How Big: Combined, the two companies have $87.4-billion in revenues and 
over 145,000 employees in 160 countries. They rank No. 1 worldwide in 
revenue for servers, access devices (PCs and hand-held devices) and imaging 
and printing. They are also a top 3 player in IT services, storage and 
management software. 

Who's in Charge: Carly Fiorina, chairman and chief executive officer of 
HP, will be chairman and CEO of the new HP. Michael Capellas, chairman 
and chief executive officer of Compaq, will be president.

Layoffs: The deal is expected to result in the layoff of about 15,000 workers 
worldwide - there are no details yet about who will be let go.

Stock Implications; Compaq shareowners will receive 0.6325 of a newly issued 
HP share for each share of Compaq. That values Compaq at $14.68 (U.S.) 
a share, almost 19% higher than its closing price of $12.35 on Friday August 
31. HP shareowners will own approximately 64% and Compaq shareowners 36% 
of the merged company

Competitors: The other top players are PC leaders Dell and Gateway, server 
king Sun Microsystems, and of course, IBM. In terms of revenues, the new 
company is now on par with IBM.

What Critics are saying about the merger:

Legal and organizational issues will hamper the company for the next few years
The two companies don't add much to each other - their expertise is too
similar, and their primary focus is delivering support for their own hardware
The merger is based on convenience rather than a clear strategic plan

What Proponents are saying: 

It will result in cost savings of $2.5-billion/year by the middle of 2004
HP is a leader in corporate servers and services, and Compaq is a leader
in personal computers, together they can offer customers more complete solutions
The breadth of the new company will make them better able to improve
their consulting and service offerings, a strategy that has worked for IBM


Surprise Possibility: The deal may not even be completed if regulators 
in the U.S. and European Union decide that it violates anti-trust legislation 
by impeding competition in the industry.
